Domain Name Registrar Compliance Agreement
(China’s Mainland)
This Domain Name Registrar Compliance Agreement (hereinafter the “Agreement”), according to relevant rules by the Ministry of Industry and Information Technology of the People’s Republic of China, is signed by three parties, namely [registry operator Beijing Qihu Keji Co., Ltd.], [domestic registry Xiamen Dianyun Intelligent Technology Co., Ltd.], and [domestic ], on ( )-( )-( )(hereinafter the “Effective Date”). Unless otherwise specified, terminology appearing in this Agreement should be interpreted the same as their counterparts in the .YUN Registry-Registrar Agreement (hereinafter “RRA”) signed by and between [registry operator Beijing Qihu Keji Co., Ltd.] and [domestic ].
WHEREAS
A. [Registry operator Beijing Qihu Keji Co., Ltd.], is located in Room 801, 8th Floor, No. 104, 1st - 19th Floors, Building 2, Courtyard 6, Jiuxianqiao Road, Chaoyang District, Beijing, CHINA.
B. [Domestic registry Xiamen Dianyun Intelligent Technology Co., Ltd.], office address Room C322, No. 379, Zengcuo'an Community, Siming District, Xiamen City (post code 361001), is the designated contact institution of [registry operator Beijing Qihu Keji Co., Ltd.] for its .YUN top level domain in mainland China.
C. [registry operator Beijing Qihu Keji Co., Ltd.] has entered into an "Operation Cooperation Agreement" with [Domestic registry Xiamen Dianyun Intelligent Technology Co., Ltd.] to be responsible for the actual operation of the .YUN top-level domain.
D. [domestic ], IANA ID is located at office address .
NOW, THEREOF, afore mentioned three parties hereby agree to the following provisions:
1. [Domestic registry Xiamen Dianyun Intelligent Technology Co., Ltd.] is the designated contact institution in mainland China for the business management of domain name registration service organizations of [Registry operator Beijing Qihu Keji Co., Ltd.], and [domestic ] agrees to keep direct contact with it.
2. [Domestic registry Xiamen Dianyun Intelligent Technology Co., Ltd.] shall function as the designated contact institution on behalf of [registry operator Beijing Qihu Keji Co., Ltd.] regarding its .YUN top level domain, offering communication services regarding RRA-related operational and management matters, including registry operations, management, and dispute resolution.
3. All obligations of [registry operator Beijing Qihu Keji Co., Ltd.] under the RRA (including but not limited to, system operations and access to registry system, maintenance of registrations sponsored by registrar, provision of registry tool kits, handling of personal data, etc.) indemnity, limitations of liability, etc., shall in fact be performed by [Domestic registry Xiamen Dianyun Intelligent Technology Co., Ltd.]. [domestic ] hereby acknowledges and agrees that the obligations under the RRA shall be carried out by [Domestic registry Xiamen Dianyun Intelligent Technology Co., Ltd.] and shall not directly assert rights against [registry operator Beijing Qihu Keji Co., Ltd.].
4. [Domestic registry Xiamen Dianyun Intelligent Technology Co., Ltd.] and [domestic ]shall abide by relevant laws and regulations of the People’s Republic of China and accept the supervision and management of telecommunication regulating authorities. [Domestic registry Xiamen Dianyun Intelligent Technology Co., Ltd.] and [domestic ]shall be held punishable by telecommunication regulating authorities upon violation of relevant laws and policies.
5. The term of the RRA shall coincide with the cooperation period specified in the "Operation Cooperation Agreement". If, for any reason (including renewal or early termination), the term of the "Operation Cooperation Agreement" is amended, the term of the RRA shall be adjusted accordingly, and[domestic ] shall cooperate with [registry operator Beijing Qihu Keji Co., Ltd.] to complete all procedures for extending or terminating the agreement.
6. This Agreement remains valid as long as the applicable TLD RRA is in effect.
7. [Domestic ] shall not assign this Agreement or its provisions to any other party, for law enforcement or other reasons, without the written consent of [domestic registry Xiamen Dianyun Intelligent Technology Co., Ltd.].
8. In the event of any conflict or inconsistency between the provisions of this Agreement and those of the RRA, the provisions of this Agreement shall prevail.
9. This Agreement exists in three identical copies, each with the same force and effect.
10. If this Agreement is made in English and Chinese, in the event of any inconsistency between the two versions, the Chinese version shall prevail.
11. For matters not covered in this Agreement, parties shall make subsequent amendments or supplements through negotiation.
IN WITNESS THEREOF, this Agreement shall take effect on the Effective Date.
